Corporate News   Name(EN) : Name(TH) : Status : Show News Date : Thumbnail : (Size: 768px x 576px) Description(EN) : <p>ThaiNox Stainless Pcl and POSCO have recently signed two memoranda of understanding (MOUs) for a partnership to enhance their corporate value and obtain greater global competitiveness in their stainless steel business.</p> <p>Under one MOU, both parties agreed in principle that POSCO desires to acquire 15% of ThaiNox’s shares from Mr. Prayudh Mahagitsiri, ThaiNox’s major shareholder, and/or related persons at the rate of 1.67 Baht per share. Under the other MOU, both parties also agreed in principle that POSCO will be the company's main supplier of hot bands and non-exclusive export agent of cold-rolled products for an initial period of 2 years and renewable thereafter for successive 2-year terms.</p> <p>However, these two MOUs are subject to approval by the Board of Directors of both companies and are expected to enter into definitive agreement within 60 days.</p> <p><em>POSCO is one of the world’s premier steel producers with annual production capacity of over 30 million tons of crude steel including 2.9 million tons of stainless steel. POSCO’s broad range of hot-rolled and cold-rolled products satisfies some of the world’s most quality-sensitive customers. The company is listed on the stock Exchange of Korea, New York, London, and Tokyo.</em></p> Description(TH) : <p>บริษัท ไทยน๊อคซ์ สเตนเลส จำกัด (มหาชน) ได้ร่วมลงนามในบันทึกความเข้าใจ (MOU) กับบริษัท POSCO จำกัด เมื่อวันที 6 ธันวาคม 2549 สำนักงานใหญ่บริษัท ไทยน๊อคซ์ฯ กรุงเทพฯ ว่าทั้งสองบริษัทได้ตกลงในหลักการตามที่บริษัท POSCO แสดงความจำนงจะซื้อหุ้นจากคุณประยุทธ มหากิจศิริ และหรือบุคคลที่เกี่ยวข้อง จำนวน 1,200,000,000 หุ้น หรือประมาณร้อยละ 15 ของจำนวนหุ้นที่จดทะเบียนทั้งหมดของบริษัท ในราคา 1.67 บาทต่อหุ้น</p> <p>นอกจากนี้ยังบรรลุข้อตกลงในหลักการที่บริษัท POSCO จะทำหน้าที่เป็นผู้จัดหาผลิตภัณฑ์ม้วนเหล็กรีดร้อน และเป็นตัวแทนจำหน่ายทั่วไปที่ไม่มีลักษณะผูกขาด (Non-Exclusive Agent) สำหรับผลิตภัณฑ์เหล็กรีดเย็นของบริษัทไทยน๊อคซ์เป็นเวลา 2 ปี และจะต่ออายุโดยอัตโนมัติเป็นคราวๆ อีกคราวละ 2 ปี</p> <p>อย่างไรก็ตาม ธุรกรรมข้างต้นทั้งสองฉบับยังอยู่ในขั้นตอนการอนุมัติของคณะกรรมการบริษัทฯ ส่วนการเจรจาและการลงนามในสัญญาต่างๆ ที่เกี่ยวข้องคาดว่าจะแล้วเสร็จ ได้ภายใน 60 วันนับจากนี้</p> <p>อนึ่ง บริษัท POSCO จำกัด เป็นผู้นำอุตสาหกรรมผลิตและจำหน่ายเหล็กอันดับ 3 ของโลก มีกำลังการผลิตเหล็กมากกว่าปีละ 30 ล้านตัน รวมทั้งสเตนเลสอีกประมาณปีละ 2.9 ล้านตัน ผลิตภัณฑ์หลากหลายชนิดทั้งเหล็กรีดร้อนและรีดเย็นของ POSCO เป็นที่ยอมรับอย่างกว้างขวางในกลุ่มลูกค้าที่ให้ความสนใจเรื่องคุณภาพสูงสุด  นอกจากนี้ POSCO ยังเป็นบริษัทชั้นนำระดับโลกที่จดทะเบียนอยู่ในตลาดหุ้นเกาหลีใต้ นิวยอร์ค ลอนดอน และโตเกียว  การจับมือร่วมเป็นพันธมิตรครั้งนี้จึงนับเป็นการเสริมศักยภาพและความแข็งแกร่งให้แก่ไทยน๊อคซ์ในการก้าวขึ้นเป็นผู้นำในตลาดเอเชียตะวันออกเฉียงใต้</p>
